12.01.16 Madelyn Spatt Shulman serves as counsel to Carlton Fields, a major Southeast U.S. regional law firm which maintains its New York office at the Chrysler Building. Ms. Shulman, who is admitted to the bar in the states of New York and Arizona, maintains her practice with Madelyn Spatt Shulman P.C. in Great Neck, New York.
08.16.10 Provisions of the Dodd Frank Bill exempted Smaller Reporting Companies from Section 404(b) of Sarbanes Oxley requiring accountants certification that the company complies with internal reporting standards. The legislation will save on accounting fees for  smaller reporting companies who had been scheduled to begin complying this year.08.6.2010At this weekend's meeting of the American Bar Association Business Law Section in San Francisco,  I met with the Securities Subcommittee of the Middle Market and Small Business Committee to discuss the impact on smaller public companies of provisions of the Dodd Frank bill, which was signed by President Obama in late July.  07.19.2010Effective July 12, 2010 Madelyn Spatt Shulman was admitted to the Bar of the State of Arizona. 04.01.10
March 31, 2010 marked the Form 10-K Annual Report filing deadline for many "smaller public companies" which report on a calendar year. As a result of weaknesses in the business environment, many of these companies have been required, pursuant to FASB ASC 350 (FAS 142 "Goodwill and Other Intangible Assets") and FAS 144 to write down goodwill and other intangible assets which are not amortized on a straight line basis.  This may also require filing of an 8-K.  Given the economic and regulatory environment, should your company remain a publicly reporting company?
